Gulf South Angels (GSA), a nonprofit angel investor network founded in Southeast Louisiana in 2014, will host a free webinar titled “Pooling Investment Capital, Navigating Compliance” on Wednesday, Oct. 7, from 12:00–1:00 p.m. CT. The virtual session, part of The Legal Brief: Gulf South Angels Webinar Series and presented in partnership with Jones Walker LLP, will focus on legal and regulatory considerations for pooled investment vehicles such as special purpose vehicles (SPVs), sidecars and private funds. Giles “Det” Beal IV, Partner at Jones Walker LLP, will lead the presentation and address how the Investment Company Act and the Investment Advisers Act of 1940 apply to pooled structures.
"As angel investors increasingly use SPVs, sidecars and other pooled structures to participate in deals, understanding the regulatory framework surrounding these vehicles is more important than ever," said Beal. "Our goal is to give investors a practical understanding of the rules and exemptions that may apply, so they can approach these opportunities with greater confidence and awareness of the potential legal considerations."
The webinar will provide a practical overview of the legal landscape for pooled investments and conclude with guidance on key regulatory risks and best practices. Topics slated for discussion include the thresholds that trigger registration or exemption under federal securities laws, compliance considerations for managers of pooled vehicles, and examples that illustrate how common pooled structures have been used in angel-led transactions.

GSA has grown substantially since its founding in 2014. As of July, the organization reported having more than 185 accredited investors across 21 states and having invested more than $35 million across 76 companies. The Legal Brief series features quarterly sessions led by GSA sponsor law firms, each focused on a specific legal topic relevant to investors, entrepreneurs and the broader startup ecosystem across the Gulf South.
